These Terms of Service (“Terms”) govern your access to and use of the Hidden Frictions website and the operator-level business audit and related services we provide (the “Services”). Please read them carefully — by using our website or engaging our Services, you agree to these Terms.

1. Acceptance of Terms

By accessing this website or purchasing, booking, or using any Hidden Frictions Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the website or the Services.

2. About Our Services

Hidden Frictions provides an operator-level business audit. The audit reviews a business for hidden friction — the trust gaps, messaging problems, lead-flow drag, and operational and systems issues that quietly slow growth — and delivers a recorded teardown together with a prioritized list of recommended fixes. The Services are delivered remotely. Hidden Frictions was founded by Kevin L. Walker and is delivered by Hidden Frictions and its team.

3. Eligibility and Authority

You must be at least 18 years old to use the Services. If you engage the Services on behalf of a business or other entity, you represent that you have the authority to bind that entity to these Terms.

4. The Audit Is Advisory — No Guarantee of Results

The audit provides observations, analysis, opinions, and recommendations based on the information made available to us and our review of your business. It is informational and advisory in nature.

Hidden Frictions does not guarantee any specific outcome, including any particular increase in revenue, profit, leads, conversion, or growth. Any examples or figures referenced are illustrative and are not promises. The results you experience depend on many factors outside our control, including your market, your execution, and your decisions. Implementation of the recommendations, and the results of that implementation, are your responsibility.

5. Not Legal, Financial, Tax, or Investment Advice

The audit and all related materials are business and operational observations only. They are not legal, financial, accounting, tax, or investment advice, and are not a substitute for advice from a qualified professional. Using the Services does not create an attorney-client, accountant-client, fiduciary, financial-advisor, or other professional relationship. You should consult appropriate professionals before making decisions in those areas.

6. Fees and Payment

Audit fees are quoted to you before work begins and typically range from $500 to $1,000 depending on scope. The fee for your engagement is the amount stated in your quote or invoice. Payment is due as specified in that quote or invoice, and work generally begins once payment or agreed payment terms are in place. All fees are stated in U.S. dollars.

7. Client Responsibilities

To deliver an accurate audit, we rely on you. You agree to provide accurate, complete, and timely information and reasonable access to the materials we request. The quality and usefulness of the audit depend on the quality of the information you provide. You are solely responsible for the business decisions you make based on the audit.

8. Deliverables and Delivery

Your audit deliverables — typically a recorded teardown and a prioritized list of findings — are delivered within the timeframe stated at the time of your engagement, generally within five to seven business days after we receive everything we need from you. Delays in receiving information or access from you may delay delivery.

9. Refunds and Guarantee

Any satisfaction guarantee, refund, or remedy that applies to your engagement is governed by the specific terms presented to you at the time of purchase. Except as expressly stated in those terms or as required by applicable law, fees are non-refundable once the audit work has begun.

10. Intellectual Property

The Hidden Frictions name, logo, website content, audit framework, methods, processes, templates, and all related materials are the property of Hidden Frictions and are protected by intellectual property laws.

On full payment, you receive a limited, non-exclusive, non-transferable license to use the audit deliverable prepared for you for the internal purposes of your own business. You may not copy, resell, redistribute, sublicense, repackage, or publicly share the Hidden Frictions method, frameworks, or materials, and you may not use them to provide competing audit services.

11. Confidentiality

We treat the non-public business information you share with us as confidential and use it only to perform the Services and as described in our Privacy Policy. In return, you agree to keep confidential any non-public methods, processes, and materials that Hidden Frictions shares with you, and not to disclose them to third parties.

12. Third-Party Services and Referrals

We may refer you to independent partner businesses — including Plopjoy and Kevinomics Consulting — or mention third-party tools and services. These partners and providers are separate, independent entities. A referral is a convenience and is not a guarantee, warranty, or endorsement of any outcome. Hidden Frictions is not responsible or liable for the products, services, acts, or omissions of any third party, and any dealings you have with them are solely between you and that third party.

13. Disclaimer of Warranties

To the fullest extent permitted by law, the website and the Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied. Hidden Frictions disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the website will be uninterrupted, secure, or error-free.

14. Limitation of Liability

To the fullest extent permitted by law, the total aggregate liability of Hidden Frictions, its founder, owners, and team for any and all claims arising out of or relating to the Services or the website will not exceed the amount you actually paid to Hidden Frictions for the engagement giving rise to the claim.

Hidden Frictions will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost revenue, lost data, or business interruption, even if advised of the possibility of such damages.

15. Indemnification

You agree to indemnify, defend, and hold harmless Hidden Frictions, its founder, owners, team, and partners from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Services or deliverables, the business decisions you make, your content or information, or your breach of these Terms.

16. Termination

Hidden Frictions may decline, suspend, or discontinue the Services at its discretion, including where a client is abusive, where requested information is not provided, or where continuing would be impractical. Provisions that by their nature should survive — including intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification — survive termination.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Texas, and you consent to the jurisdiction of those courts. Where practical, the parties agree to first attempt to resolve any dispute informally by contacting each other in good faith.

18. Changes to These Terms

We may update these Terms from time to time. Changes are effective when the updated Terms are posted, and the effective date above will reflect the latest revision. Your continued use of the website or the Services after changes are posted constitutes acceptance of the updated Terms.

19. Severability and Entire Agreement

If any provision of these Terms is found unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force. These Terms, together with any separate written audit agreement and our Privacy Policy, constitute the entire agreement between you and Hidden Frictions regarding the Services.
